Little Dog Paper Company, LLC. (The “Seller” or “Little Dog Paper Company”) offers its products and services, conditioned upon your (The “Customer”) acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/or purchasing something from us, you engage in our Service and agree to be bound by the following terms and conditions (Terms of Service, Terms), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers and merchants.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

All sales made by Little Dog Paper Company to you are governed by these Terms and Conditions of Sale unless otherwise indicated by Little Dog Paper Company in writing. Please read these Terms and Conditions thoroughly before submitting an application for wholesale pricing. Do not submit the Wholesale Application unless you understand these Terms and Conditions and agree to abide by them. The Seller reserves the right to amend or modify these Terms and Conditions of sale at any time at its sole discretion. Seller shall not accept Customer’s purchase orders unless and until Customer consents to these Terms and Conditions of Sale and completes the Wholesale Application. These Terms and Conditions of Sale as set forth in this document will govern all transactions between Customer and Seller. These Terms and Conditions of Sale also apply to all future transactions unless modified in writing signed by Seller and Customer

LIMITATIONS ON USE: 

Customer shall not, directly or indirectly, including through any agents, distribute, market, sell or solicit orders for any Little Dog Paper Company products on any of the Amazon selling platform, including, but not limited to, Amazon.com, Amazon.ca, and Amazon.co.uk, Etsy, eBay or any similar sites or any similar sites. Customer further covenants and agrees not to distribute, market or sell Little Dog Paper Company products to any person if the Customer knows or has any reason to believe that such Little Dog Paper Company Product will be resold by such person, directly or indirectly, on any of the Amazon selling platform, including, but not limited to, Amazon.com, Amazon.ca, and Amazon.co.uk., Etsy, eBay or any similar sites If Customer becomes aware that any person to whom Customer supplies any Little Dog Paper Company product is marketing or selling, or is planning to market or sell, the Little Dog Paper Company Product on any of the Amazon selling platform or similar sites, including, but not limited to, Amazon.com, Amazon.ca, and Amazon.co.uk, Customer shall immediately notify Seller and shall cease forthwith to supply such person with Little Dog Paper Company product.

CANCELLATION: 

Cancellation of Purchase Orders. Your receipt of an electronic or other form of order confirmation constitutes your request for Goods or services. It may not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We may require additional verifications or information. If you need to cancel an order following submission, please contact us immediately; Orders for which we have already commenced work to complete or fulfill are generally not cancellable.

We reserve the right at any time after receipt of your order to accept or decline your order for any reason, or to cancel an order that has already been accepted. Other than as set out in these Terms and Conditions, we shall not be responsible for any loss or damage of any kind, which you might suffer by reason of us declining to accept or for canceling your order.

Seller requires and customer shall owe a 15% restocking fee on cancelled wholesale orders. All wholesale orders are processed immediately upon a order submission, with the exception of orders with a future ship date. Orders with a future requested ship date of 30 days or more may be altered. Wholesale orders with a future requested ship date of 30 days or less will be processed immediately and will require a 15% restocking fee if the order is cancelled.

However, should you wish to change or cancel your order, you are welcome to call us to check whether the processing of an order has commenced, and if it has not we may be able to accommodate your request to cancel and will do our best to meet your needs. Any changes to or cancellation of an order can only be made with Little Dog Paper Company’s prior written approval and additional charges may apply. Any agreement by Little Dog Paper Company to accommodate a cancellation request will be conditioned upon payment of any and all costs, charges and expenses already incurred by Little Dog Paper Company to that point, and you agree that such amounts may be deducted from any payments previously made to Little Dog Paper Company. Accordingly, we encourage you to carefully check your order before submitting it.

INTELLECTUAL PROPERTY:

By submitting content, images, or artwork (collectively, the “Artwork”) to us for custom work, you (i) represent and warrant that you have the complete and exhaustive right, title, and ownership in the Artwork, and no portion of the Artwork infringes or otherwise misappropriates any third party intellectual property or similar rights or claims, anywhere in the world, and (ii) will be deemed to provide Little Dog Paper Company with a perpetual, fully paid-up, non-exclusive, irrevocable and non-terminable right and license to use, exploit, and display the Artwork for purposes of completing the custom order and fulfilling any additional terms required. We will not check the content of any images provided by you. However, if we believe any image does not comply with these terms, we reserve the right to refuse to use it, without any obligation or liability to you.

As part of the license provided herein, we may photograph products that we provide to you, including those decorated with or otherwise displaying or making use of the Artwork, and we may display these photographs on our website or other advertising media, for Little Dog Paper Company’s marketing and promotional purposes, unless specifically requested in writing by you not to do so.

INTELLECTUAL PROPERTY OWNERSHIP: 

Subject to the express rights and licenses granted in this Agreement, you acknowledge and agree as follows:

(a) any and all Little Dog Paper Company’s intellectual property, including the “Little Dog Paper Company” mark and those reflected or referenced in the Marketing Materials (collectively, the “Intellectual Property”), is the sole and exclusive property of Little Dog Paper Company or its licensors;

(b) you will not acquire any ownership interest in any of the Intellectual Property;

(c) any goodwill derived from the use of the Intellectual Property inures to the benefit of Little Dog Paper Company or its licensors, as the case may be;

(d) if you acquire any rights in or relating to any product (including any Goods) purchased under this Agreement (including any rights in any trademarks, derivative works or patent improvements relating thereto), by operation of law, or otherwise, these rights are deemed and are hereby irrevocably assigned to Little Dog Paper Company or its licensors, as the case may be, without further action by either Party; and

(e) you will use the rights granted under the Merchandising License solely in accordance with this Agreement and the instructions of Little Dog Paper Company.

INDEMNIFICATION: 

To the fullest extent permitted by law, you agree to indemnify, hold harmless, and defend Little Dog Paper Company, Inc., its affiliates, parents, and subsidiaries, and their respective agents, officers, directors, employees, partners, consultants, independent contractors, successors and assigns against any and all loss, claim of loss, injury, costs and damages arising from (i) your purchase, display, or use of Goods (except where such claims relate to breach of any warranties provided by Little Dog Paper Company), (ii) your breach of the terms hereof, or (iii) your or your representatives’ gross negligence or willful misconduct.

PAYMENTS:

Seller accepts Visa/MasterCard, Discover, and American Express. COD payments are not accepted.

Payment Terms. A Credit card number or form of payment due with every order when placed, to be charged at the time of shipping. Unless otherwise mutually agreed by the parties, all orders for the Products shall be invoiced by Little Dog Paper Company on the date shipped. The Customer shall pay Little Dog Paper Company invoices for Products in accordance with the due dates specified therein.  

NET TERMS:

NET terms are generally not accepted; however, exceptions may be made on a case-by-case basis, please check with us before placing a wholesale order if you wish to negotiate NET payment terms. Net Payments require a Non-Refundable Deposit negotiated at the time of payment. Payment in accordance with any negotiated terms will be run at the time terms are negotiated and finalized. 

MINIMUM ORDER:

For continental United States the minimum order is $100.00 plus shipping. Please contact The Little Dog Paper Company for any orders or shipments outside of the continental United States at hello@littledogpaperco.com. The only exception is for first time sample purchases. Additionally, a $75.00 minimum is required for any re-orders.

ADDITIONAL SHIPPING TERMS:

Shipping Orders will be shipped by the Seller via USPS. Alternatively, orders may be shipped by any method arranged for by the Customer although additional fees may be incurred. Little Dog Paper Company will try to accommodate all rush orders. Special orders and backorders will require additional time and can be estimated at the customer’s request on a case by case basis. Actual shipping time is contingent upon availability of merchandise and credit verification. Payment will be required before or at the time of shipping.

LEAD TIME:

Typically we ship orders within 4 business days and sometimes the same day. During a busy holiday season it may take up to 8 business days but this is unusual. If you have a rush order please let us know and we will exert extra effort to try to get your order out sooner.

OUT OF STOCK:

We try to have everything in stock. However, there may be unavoidable outages. When an out of stock situation occurs we do not back-order out-of-stock items. We will either hold your order if we expect to have back in stock within a few days, or we will send your order without the items, with the expectation that you will order the out-of-stock items on your next order. We will note on your packing slip any items that you ordered that were out of stock.

NOTICE OF DEFECTS:

Customer is responsible for inspecting the merchandise upon receipt. Any merchandise with visible damage must be noted to the delivery service upon receipt in the Customer’s warehouse. Customer shall notify Seller in writing within 5 days of customer’s receipt of the merchandise of any claims for damages resulting from any defect in the merchandise discovered by Customer, including, without limitation, claims related to shortages, quality, or specification. Seller shall not be responsible for shortages when shipments are directed to a third party other than Customer.

ACCEPTANCE OF LATE OR DEFECTIVE MERCHANDISE:

Customer’s failure to provide written notice of a claim, as set forth in these Terms and Conditions of Sale, shall constitute a waiver of any claim Customer may have for damages resulting from such defects, including late delivery.

TO REQUEST A RETURN:

For fastest return authorization, simply e-mail hello@littledogpaperco.com to request or receive a Return Authorization. Customer will receive either a return of funds, or a credit a posted to their account for any such return once it is received.

A 15% Restocking Fee may apply for returns that are not a result as a fault or defect of the merchandise caused by Little Dog Paper Company.

Please allow 5 to 7 days for credit posting. Order information (Order Number, Customer Number (if possible), First & Last Name, Daytime/Evening phone numbers (indicate best time to reach you in case further information is needed).

Indicate whether this is a Return or an Exchange.

For Return: Reimbursement amount will be determined by the form of payment used on the order.

For Exchange: Include SKU Number of the exchange item.

Reason for Return/Exchange

Exchanges:  Indicate SKU Number (if applicable), quantity, description and price of replacement item(s) you desire.

Indicate if item was purchased by someone other than yourself and include as much Customer information as possible (name, address, phone, e-mail address).

If returning a gift, you may receive an Exchange or Gift Card for future purchase.

If replacement item(s) are more expensive you will need to pay the difference in price.

For your protection, return items via FedEx/UPS Ground or USPS insured with delivery confirmation. Please do not use Drop Boxes.

A 15% Restocking Fee may apply for returns that are not a result as a fault or defect of the merchandise caused by Little Dog Paper Company.

GENERAL CONDITIONS:

We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION:

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.

This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

MODIFICATIONS TO THE SERVICE AND PRICES:

Prices for our products are subject to change without notice.

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.

We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

BILLING AND ACCOUNT INFORMATION ACCURACY:

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY:

We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.

We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.

You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall Little Dog Paper Company, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

TERMINATION:

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

GOVERNING LAW:

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of New Hampshire.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

FORCE MAJURE: 

Neither Buyer nor Seller shall be liable to the other for delays in performance of its obligation hereunder caused by acts of God, war (declared or undeclared), government regulation, terrorism, disaster, strikes, civil disorder, curtailment of transportation facilities, pandemic including the current COVID-19 crisis, or similar occurrence beyond the party's control, making it impossible, illegal, or commercially impracticable for one or both parties to perform its obligations under these Terms and Conditions of Sale, in whole or in part.

These terms and conditions of sale constitute the entire agreement between Seller and Customer, superseding any prior agreements between Customer and Seller. The failure of Seller to exercise or enforce any right or provision of these terms and conditions of sale shall not constitute a waiver of such right or provision. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to these terms and conditions of sale must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in these terms and conditions of sale are for convenience only and have no legal or contractual effect.

ENTIRE AGREEMENT: 

With the exception of any existing agreements relating to Little Dog Paper Company this Agreement constitutes the entire agreement between the parties and supersedes all prior contracts, agreements and understandings between the parties, whether written or oral, with regard to the subject matter hereof.
